Insider Guidelines
SSH Communications Security Corp complies with guidelines for insiders issued by Nasdaq OMX Nordic Exchange Helsinki to public companies.Public Insiders
The public permanent insiders of SSH are members of the Board of Directors, CEO, members of the Executive Management and the Auditors. SSH maintains its public insider register in the Finnish Central Securities Depository Ltd’s SIRE system. A list of SSH’s public insiders and their share and stock option holdings are available below.Company-specific Insiders
SSH also maintains a Company-specific non-public register of insiders, who by virtue of their position regularly receive insider information or who could have an opportunity to gain access to insider information through the nature of their work and who are not in the public insider register. These persons include the members of the Business Management, assistants of Executive Management, Product Management and persons working in the Financial Administration or Management of Information Services. Further, SSH’s external legal advisors and such persons from the auditing firm of SSH who regularly take part in audit of SSH are included in the Company-specific Insider Register.Trading Restrictions
Insiders belonging to the Public or Company-specific insider register are not allowed to trade in securities issued by SSH for a period of 21 days prior to the announcement of an interim report and the financial statement bulletin (Closed Window).Trading in securities issued by SSH without a prior approval of the Corporate General Counsel is allowed for the said permanent insiders only for a period of 21 days after the announcement of the interim report and the financial statement bulletin of SSH (Open Window).
Project-specific Insiders
Under circumstances where SSH is preparing an event that may have a significant impact on the stock price, a Project-specific insider register is established. Project-specific insider register will be based on the insider guidelines of the Helsinki Stock Exchange.Guidance and Supervision
